Biography

The primary focus of Jordan’s practice has always been to work with clients to develop innovative yet prudent ways to address and resolve complex transactional, corporate and litigation matters. He represents businesses of all sizes, including financial institutions, manufacturers, tax-exempt entities, energy and natural resources companies, commercial real estate developers and investors, and Fortune 500 companies. Working in concert with his colleagues across our diverse practice groups, Jordan is honored to serve as his clients’ go-to problem solver for any business that requires multidisciplinary advice.

During most days, Jordan spends time acting as outside general counsel to private and family-owned businesses of all sizes and across many industries.  Jordan works with executives and owners to provide timely, practical, strategic and value-added advice on many issues faced by closely held companies including, risk management, contracting best practices, internal and external dispute resolution, corporate restructuring, board of director training, employment issues, and regulatory compliance.  When the time comes to consider exit strategies, succession planning, or mergers and acquisitions, Jordan provides dynamic but sound advice to help his clients achieve long term success and to capitalize on current market opportunities.

As the trusted advisor to many closely held middle market businesses, Jordan is often asked to provide pro-active advice to clients looking to minimize risk and maximize investor returns when managing the ups and downs of their businesses’ life cycle. Relying on his diverse experience across the financial services, real estate, and manufacturing industries, Jordan works in partnership with business owners and operators to provide guidance related to: entity selection and formation, corporate governance and best-practices within the boardroom, contract negotiation, financing, investor relations, and critical response to market stresses or the threat of litigation.

Outside General Counsel Services

Jordan has spent significant time developing an integrated approach to partnering with his clients’ in-house counsel to focus on identifying ways to effectively manage risk, monitor compliance and regulatory requirements, and adopt new platforms that utilize technology, data analytics, and auditing to reach their goals of predictability in legal spending, diversity across legal teams, and optimized delivery of work product. When a client does not have in-house counsel, Jordan serves as outside general counsel for his clients and leads a team of colleagues to deliver highly efficient legal counsel for all aspects of the client’s business. His relevant experience includes:

  • Advising non-profit focused on child literacy on all aspects of corporate governance, employment matters, and fundraising.
  • Representation of precision manufacturing and tooling companies on corporate matters, mergers and acquisitions, employment issues, and stakeholder disputes.
  • Representation of employment services conglomerate on corporate matters, acquisitions, employment issues and collections.
  • Representation of owner of grocery store chain on corporate matters, mergers and acquisitions, and real estate leasing issues.
  • Representation of precision manufacturer in corporate acquisitions.
  • Advising non-profit focused on workforce development, apprentice training, and STEM education of high school students on general corporate, labor and employment matters, contract negotiation and risk management issues.
  • Representation of the City of Pittsburgh’s Department of Finance in connection with tax collections, zoning and land use issues, public finance transactions, and provision of local government services.
  • Advising tax-exempt entities on Board of Director restructuring and fiduciary training.
  • Advising tax-exempt entity on national joint venture and licensing agreements.

Investor, Stakeholder, & Creditor Relations

Whether advising startups on corporate formation, internal policies and procedures, and go-to-market strategies or counseling established businesses on mergers and acquisitions, joint ventures, board of director restructuring, or liquidity constraints, Jordan spends much of his time sitting alongside management when important decisions are made that will impact all stakeholders. Jordan’s expertise is frequently called upon by cryptocurrency and blockchain companies due the volatile nature of their industry to provide legal advice focused on corporate stability and longevity.  His relevant experience includes:

  • Advising crypto and blockchain clients on investor, creditor, and stakeholder strategies to minimize risk associated with volatility in crypto markets.
  • Advising bitcoin miner on strategic debt restructuring plan.
  • Advising manufacturing and emerging technology companies in connection operational challenges, internal restructuring of debt to equity, and management of trade liabilities.
  • Representation of publicly traded transportation company in connection with internal corporate reorganization of over 100 international subsidiaries to streamline corporate governance and overcome supply chain obstacles.
  • Representation of multi-faceted family business conglomerate dealing in Real Estate and Oil & Gas to restructure parent and subsidiary companies.
  • Advising a national bank on issues of perfection of security interests in agricultural and farm product lending throughout a twenty-five-state footprint.
  • Representation of individuals in federal securities action against former stockbroker and advisory firm in connection with alleged improper securities offering.
  • Advising franchised companies in connection with disputes arising from supply chain disruption, lease restructurings, and undercapitalization of their businesses.

Distressed Transactions, Restructurings, & Workouts

Jordan provides practical legal advice to financial institutions and businesses dealing with distressed credit and financial restructuring situations. Either working for a lender, creditor or borrower, he frequently advises clients on financial workouts, loan restructurings, insolvency issues and recapitalization, as well as trade debt collection, lien enforcement, and asset sales.  Jordan also represents clients in avoidance actions and advises bankruptcy trustees and creditor committees on strategies for maximizing creditor recovery.

Jordan’s goal is to provide his financial services and trade creditor clients with effective and immediate advice to reduce loses and provide value added services designed to maximize return when faced with defaults while working closely with management to integrate technology-based processes for dealing with distressed credits. He has developed and manages a national collections platform that provides traditional bankruptcy, foreclosure and loan restructuring services to some of the largest banking institutions in the United States as well as international suppliers of construction materials, precision components, and raw materials. His relevant experience includes:

  • Advising electrical supply company on national lien claims, bankruptcy issues and collections matters.
  • Representation of home goods company in connection with debt restructuring, asset sales, and international guarantor issues.
  • Representation of owner of closely held construction company in connection with bankruptcy avoidance claims.
  • Representation of high net worth individual in defense of fraudulent transfer claims.
  • Representation of a historic private social club in complex Chapter 11 reorganization.
  • Representation of local chapter of national community outreach and youth development organization in Chapter 11 reorganization.
  • Representation of major national banks in asset recovery workouts and bankruptcy matters.
  • Representation of the Official Committee of Unsecured Creditors of a New York Not-For-Profit Medical Research Facility.
  • Representation of a Chapter 7 Trustee in connection with prosecution of litigation against former Directors and Officers of Not-For-Profit company.
  • Representation of a Chapter 7 Trustee in connection with prosecution of fraudulent transfer litigation against corporate insiders.
  • Representation of national insurance company regarding fraudulent use of insurance proceeds by Debtor and Debtor’s counsel.
  • Representation as national counsel to financial institution in connection with consumer bankruptcy focusing on Chapter 7, 11, and 13 issues.
  • Representation of private equity group for acquisitions of distressed commercial paper secured by real estate.
  • Representation of secured lender in connection with relief of stay for portfolio of more than twenty cranes and hoists and subsequent UCC private sales.
  • Representation of one of the fifty largest shopping center and net lease retail property owners in the United States in connection with bankruptcy matters including lease rejection claims, administrative rent claims, and related litigation.
  • Representation of Fortune 500 medical device and laboratory company in defense of multi-jurisdiction preference and avoidance actions.

  • Representation of clients in connection with real estate sales, 1031 exchanges, lease negotiations and collection of unpaid rent.
  • Representation of precision microscope company in connection with cross-border mineral procurement and supply continuity agreements.
  • Representation of foreign corporation in connection with patent litigation financing dispute.
  • Representation of oil and gas company in connection with negotiation of transportation and logistics software agreements.
  • Representation of multi-national company in connection with foreign and domestic supply agreements.
  • Representation of real estate developer in connection with construction and leasing of a new downtown office building.
  • Representation of energy exploration and production company in dispute with pipeline company regarding nominations and shut-in provisions under supply contract.
  • Representation of corporate and individual defendants in connection with federal trademark and anti-cybersquatting litigation under the Lanham Act.
