Nearly 16 months after announcing proposed changes to the rules governing premerger notifications under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, the Federal Trade Commission has finally announced a final rule containing significant changes to the HSR premerger notification process. While the final rule is less sweeping than originally proposed last year, the changes are significant and by the FTC’s own estimates, the time required for outside counsel to prepare an HSR filing could increase by as much as 121 hours, resulting in additional potential legal fees of more than $70,000 per filing.
This webinar will examine the most significant changes and the enforcement agencies’ rationale behind them, address whether businesses should accelerate 2024 deal timelines to make HSR filings before the final rule takes effect next year, and help businesses understand steps they can take to minimize additional time and expense for HSR filings under the new regime and avoid disruption to deal timelines.
