Kevin practices corporate law, focusing in the areas of mergers and acquisitions, securities, corporate governance, finance, tax credits and commercial transactions. In the M&A realm, he represents both public and private companies in acquisitions and divestitures, including compliance with the Hart-Scott-Rodino Antitrust Improvements Act requirements. He advises public companies, including insurance companies offering variable insurance products, with respect to compliance and reporting matters. In addition, Kevin provides advice and counseling in venture capital transactions and private placements of securities by private companies. He also represents community development entities (CDEs) and qualified active low-income community businesses (QALICBs) in structuring transactions involving New Markets Tax Credits and with respect to the ongoing compliance associated with such transactions.
