Dylan focuses his practice on helping businesses address a range of matters throughout their lifecycle, spanning many industries including private equity, technology and FinTech, advertising, manufacturing, consumer goods, health care, private equity, and sports and entertainment. He has experience with entity formation, addressing the legal aspects of day-to-day operations, internal restructurings and governance matters. Additionally, Dylan advises and guides clients through the full lifecycle of M&A activities on both buy and sell-side.
Beyond providing counsel on the more general legal aspects of a business, Dylan has developed expertise in transactions involving heavy technology or data components, licensing work related to intellectual property and data, negotiating software as a service (SaaS) agreements, and advising on other technology-related transactions. His comprehensive understanding of these areas allows him to effectively support clients in navigating complex legal landscapes and achieving their business objectives.
Dylan has experience in assisting FinTech and emerging technology clients in navigating certain regulatory matters related to money transmission/services businesses, banking regulation, anti-money laundering and sanctions regulations, each particularly with respect to digital assets. Dylan’s prior experiences also lend to him being a zealous brand advocate helping companies navigate and explore how to protect their brand when engaging with advertisers and public platforms through sponsorship and marketing efforts. He also has experience dealing with a variety of tax-related matters, specifically in the context of transactions.
Prior to joining Frost Brown Todd, Dylan was employed as an associate with the Transaction Tax Advisory group of a Big4 accounting firm, where he primarily provided clients of varied size and structure with services related to entity transactions, including tax due diligence, tax attribute planning, and the tax components of legal entity structuring. Before his employment in public accounting, Dylan was employed by a startup sports franchise in their inaugural and second years. He served as a legal consultant, addressing matters typically associated with a business in its infancy, sponsorship and advertising efforts, and those associated with a sports franchise.
Dylan received his Juris Doctorate from the University of Cincinnati in 2017 and is a Certified Public Accountant (CPA).
