Frost Brown Todd assisted Midland Atlantic Development, a Cincinnati-based retail developer, in closing a multi-property land assemblage in South Dakota for the development of a regional open-air shopping center. As a part of this transaction, FBT negotiated and closed the contracts with multiple underlying owners, negotiated the construction loan and mezzanine financing for the project, negotiated a TIF loan in connection with the public infrastructure financing for the project, established the multi-tier ownership structure for the project and negotiated the LLC operating agreements, and negotiated the REA and site development agreement with the project’s anchor tenant. Frost Brown Todd is also acting as counsel in the negotiation of all leases (and outparcel contracts) for over 500,000 square feet of space in the project.
