Alan concentrates his practice on corporate governance, risk management solutions, succession planning, operational and transactional matters. He has extensive experience in operational risk assessment and mitigation, including the design, implementation and testing of organizational processes, procedures and controls, formation of captive insurance companies, risk retention groups and related risk management programs. Alan also represents clients in all aspects of mergers and acquisitions, including regulatory issues.
Alan has a long history representing many types of businesses, including financial, manufacturing, hotel and food service, retail, health care, insurance, real estate development and transportation companies. He works with chief executives, CFOs, in-house counsel and compliance officers to help them navigate the unique risk profiles of their respective businesses to achieve successful execution of objectives.
In addition to his corporate governance, risk management and transactional practice, Alan has significant experience in various financing matters, including leveraged (asset-based) buy-outs, private equity, mezzanine, convertible and traditional financing vehicles.
